Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Automate V2 (the “Service”), a business operations platform offered by Qbexel (“Qbexel,” “we,” “our,” or “us”).

Automate V2 is designed to help businesses manage order entry, courier workflow, inventory, accounting, cashbook records, payment tracking, and profit reporting.

By creating an account, connecting a platform, using the Service, or allowing your team to use the Service, you agree to these Terms. If you do not agree, do not use Automate V2.

These Terms are intended to create a clear business relationship and protect both you and us while the Service runs. Who We Are

Qbexel provides business software that helps merchants and online businesses automate operations and keep cleaner records.

Automate V2 helps businesses move from order confirmation to shipping, payment collection, and profit reconciliation in one system.

Acceptance of These Terms

By using the Service, you confirm that:

  • you are acting on behalf of a business or organization, or you are otherwise authorized to enter into these Terms;
  • you are at least the age required by law to enter into a binding agreement in your jurisdiction;
  • all information you provide is accurate and complete;
  • you will use the Service only for lawful business purposes.

If you use the Service on behalf of a company or other entity, then that entity is bound by these Terms, and you confirm that you have authority to bind it.

Changes to These Terms

We may update these Terms from time to time. When we do, we may post an updated version on our website or dashboard and change the “Last updated” date.

If you continue using the Service after the updated Terms become effective, you agree to the revised version.

Description of the Service

Automate V2 is a business operations platform that may allow you to:

  • import orders from chat platforms, websites, spreadsheets, or manual entry;
  • connect courier systems for shipping and tracking;
  • update order and delivery status;
  • record advance payments, COD collections, returns, and cancellations;
  • maintain cashbook and accounting records;
  • manage stock and prevent overselling;
  • track customer history and reliability;
  • calculate profits, costs, and business performance.

We may improve, modify, replace, or discontinue features at any time.

Accounts and Registration

To use the Service, you may need to create an account or connect a business account. You agree to:

  • provide accurate account details;
  • keep your login credentials secure;
  • notify us promptly of unauthorized account access;
  • keep your account information updated;
  • ensure that your employees, moderators, or agents follow these Terms.

You are responsible for all activity that occurs under your account, unless applicable law says otherwise. We may refuse registration, suspend access, or request additional verification where needed for security, compliance, abuse prevention, or business risk management.

Client Responsibilities

You are responsible for how you use the Service and for the content and data you provide. You agree that you will:

  • have the legal right to collect, use, and process customer data you upload or connect;
  • provide accurate product, pricing, inventory, shipping, and business information;
  • maintain proper notices, consents, and permissions where required by law;
  • review automated outputs before relying on them when accuracy matters;
  • keep your customer communications lawful, fair, and non-deceptive;
  • honor your own return, refund, shipping, and warranty promises;
  • comply with all applicable laws and platform rules.

You must not use the Service to process data you are not permitted to use.

Acceptable Use

You may not use the Service to:

  • break any law or regulation;
  • send spam, harassment, threats, or abusive content;
  • engage in fraud, deception, or illegal sales practices;
  • impersonate another person or business;
  • upload malware, spyware, or harmful code;
  • interfere with or disrupt the platform or connected services;
  • attempt unauthorized access to accounts, systems, or data;
  • reverse engineer, copy, or exploit the Service except as allowed by law;
  • infringe intellectual property rights;
  • use the Service for harmful, hateful, violent, or exploitative activity.

We may investigate suspected misuse and take appropriate action.

Automation and Workflow Features

Automate V2 includes automation, workflow, and record-management features. You understand and agree that:

  • automated outputs may depend on the quality of the data you provide;
  • workflows may fail, pause, or behave differently depending on connected platforms, permissions, or service availability;
  • the Service is a tool to help manage operations, not a guarantee of sales, delivery success, or profit;
  • you remain responsible for reviewing important transactions and records.

We do not guarantee that every automated action will be completed correctly in every case.

Customer Communications and Integrations

If you connect Facebook, Instagram, WhatsApp, websites, courier systems, payment systems, or other third-party tools to Automate V2, you authorize us to process the data needed to provide the requested service. You are responsible for:

  • making sure your use of the connected service is permitted by that service’s terms;
  • maintaining valid permissions and access tokens where applicable;
  • ensuring your team does not misuse integrated channels;
  • complying with the rules of the relevant platform or provider.

If a third-party platform changes its rules, API access, pricing, or availability, some features may stop working or change.

Fees, Billing, and Payment

Some versions of the Service may require payment, subscription fees, setup fees, support fees, or other charges. By purchasing or using a paid plan, you agree to:

  • pay all applicable fees on time;
  • provide valid payment information;
  • keep your billing details up to date;
  • pay taxes, duties, or charges required by law unless stated otherwise.

If a payment fails, is reversed, or is disputed, we may suspend or limit your access until the issue is resolved. We may change our pricing at any time, subject to any written agreement or notice period required by law or a separate contract. Unless otherwise stated in writing: fees are non-refundable; unused subscription time is not refunded; credits, discounts, or promotional offers may be modified or withdrawn at our discretion.

Trials, Demos, and Beta Features

We may offer free trials, demos, pilot programs, beta features, or early-access tools. These are provided for testing and evaluation and may:

  • have limited features;
  • contain bugs or instability;
  • change frequently;
  • be discontinued at any time;
  • be subject to special terms.

Beta and trial features are provided “as is” and may not be supported in the same way as paid production services.

Data, Content, and Ownership

12.1Your data

You retain ownership of the business data, customer content, product catalogs, and other information you submit to the Service, subject to the rights you grant us under these Terms.

12.2License you grant us

You grant Qbexel a worldwide, non-exclusive, limited license to host, process, transmit, display, copy, and use your data only as needed to:

  • operate the Service;
  • provide support;
  • secure and improve the Service;
  • comply with law;
  • enforce these Terms.

12.3Our intellectual property

We own the Service, including our software, workflows, interface designs, branding, code, documentation, and related materials, except for third-party content and the data you provide.

You may not copy, resell, distribute, or create derivative products from our Service except with our written permission.

12.4Feedback

If you send us ideas, suggestions, feature requests, or feedback, you grant us the right to use them without restriction or payment.

Confidentiality

Each party may receive confidential information from the other.

You agree not to disclose our non-public business, technical, or security information except where allowed by law or with our written consent.

We will handle client data in accordance with our Privacy Policy and applicable agreements.

Privacy

Our collection and use of information is described in our Privacy Policy for Automate V2.

By using the Service, you acknowledge that we may process data as described in that Privacy Policy and in a manner necessary to provide the Service.

Security

We use reasonable measures to protect the Service and the data we process. You are responsible for:

  • keeping passwords and access credentials secure;
  • limiting internal access to authorized team members;
  • protecting your own devices and systems;
  • reporting suspicious activity promptly.

No system is fully secure, and we cannot guarantee absolute protection.

Availability and Changes to the Service

We try to keep the Service available and useful, but we do not guarantee uninterrupted or error-free operation. We may suspend, limit, modify, or discontinue any part of the Service at any time for reasons including:

  • maintenance;
  • security;
  • legal compliance;
  • platform dependency changes;
  • abuse prevention;
  • product changes;
  • force majeure or events beyond our control.

We are not responsible for losses caused by downtime, delayed messages, integration failures, platform outages, courier issues, payment failures, or data synchronization delays.

Third-Party Services

The Service may rely on or connect to third-party services such as:

  • Facebook;
  • Instagram;
  • WhatsApp;
  • courier providers;
  • hosting providers;
  • payment processors;
  • analytics services;
  • cloud infrastructure;
  • e-commerce platforms.

Third-party services are controlled by their own terms and policies. We do not control them and are not responsible for their acts, omissions, outages, or policy changes.

Suspension and Termination

We may suspend or terminate your access to the Service if:

  • you violate these Terms;
  • your payment is overdue;
  • we reasonably believe your use creates legal, security, operational, or reputational risk;
  • required by law or a third-party platform;
  • you request deletion or closure of your account.

You may stop using the Service at any time, subject to any separate contract or billing obligations. After termination, we may retain information as allowed or required by law, accounting rules, security needs, backup systems, or our Privacy Policy.

Returns, Refunds, and Business Outcomes

Automate V2 is a software tool. It does not guarantee revenue, sales growth, delivery success, lower costs, or any specific business outcome. Unless we agree otherwise in a separate written contract:

  • subscriptions are generally non-refundable;
  • setup, customization, implementation, and support fees are non-refundable once work has begun;
  • service credits, if any, are issued at our discretion or as required by law.

Your commercial outcomes depend on many factors outside our control, including product quality, pricing, market demand, customer service, courier performance, and your own business operations.

Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. We disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

  • the Service will always be available or error-free;
  • automation will always work perfectly;
  • integration data will always sync perfectly;
  • the Service will meet every business need;
  • any specific financial, commercial, or operational result will occur.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Qbexel and its directors, officers, employees, agents, contractors, suppliers, and partners will not be liable for:

  • lost profits;
  • lost revenue;
  • lost data;
  • loss of goodwill;
  • business interruption;
  • indirect, incidental, special, consequential, or punitive damages;
  • damages arising from third-party services;
  • damages caused by automation or workflow actions you chose to use.

To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the period most directly related to the claim, or another limit required by law or separate written agreement. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

Indemnity

You agree to defend, indemnify, and hold harmless Qbexel and its affiliates, officers, employees, contractors, and agents from any claim, loss, liability, damage, cost, or expense arising out of or related to:

  • your use of the Service;
  • your violation of these Terms;
  • your violation of law or third-party rights;
  • your customer communications, product claims, pricing practices, or business operations;
  • data you submit or process through the Service;
  • your misuse of automation features.

Governing Law and Dispute Resolution

Unless a separate written agreement says otherwise, these Terms are governed by the laws applicable in Bangladesh, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service should first be raised in good faith with us so we can try to resolve it informally.

If a dispute cannot be resolved informally, it may be brought before the competent courts in Bangladesh, unless a separate written agreement provides another dispute resolution process.

Force Majeure

We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including but not limited to:

  • internet or telecommunications failures;
  • cloud or hosting outages;
  • third-party platform changes;
  • courier disruptions;
  • power outages;
  • natural disasters;
  • war, civil unrest, or government action;
  • labor disputes;
  • epidemics or emergencies;
  • other events outside our control.

Assignment

You may not assign or transfer these Terms, or your rights and obligations under them, without our written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, or sale of assets.

Severability

If any part of these Terms is found to be unenforceable, the remaining parts will continue in full force and effect.

No Waiver

If we do not enforce a part of these Terms, it does not mean we waive our right to enforce it later.

Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement you sign with us, form the entire agreement between you and Qbexel regarding the Service.

If there is a conflict between these Terms and a separate written agreement, the separate written agreement will control to the extent of the conflict.
